Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Accurit AI, Inc. ("Accurit AI", "we", "us", or "our"), a Delaware corporation, governing your access to and use of the Accurit AI platform, including but not limited to the web application, mobile applications, AI-driven deal analysis tools, agent-based scouting services, document parsing infrastructure, and all related services (collectively, the "Platform").

By creating an account, accessing the Platform, or otherwise using any Accurit AI services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are accessing the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" or "your" shall include both the individual and the entity.

If you do not agree to these Terms, you must immediately cease all use of the Platform. Continued use of any Accurit AI service following the posting of revised Terms constitutes your acceptance of such changes.

2. Eligibility and Account Registration

2.1 Age Requirement. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Platform.

2.2 Accuracy of Information. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy. Accurit AI reserves the right to suspend or terminate your account if any information is found to be inaccurate, incomplete, or misleading.

2.3 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials, including your password and any API keys issued to your account. You agree to immediately notify Accurit AI at security@accurit.ai of any unauthorized access to or use of your account. Accurit AI shall not be liable for any loss or damage arising from your failure to comply with this obligation.

2.4 One Account Per User. Each individual may maintain only one account. Creating multiple accounts to circumvent limitations, abuse promotional offers, or for any other unauthorized purpose is strictly prohibited and may result in immediate termination of all associated accounts.

3. Description of Services

3.1 Platform Overview. Accurit AI provides an AI-powered real estate deal intelligence platform that utilizes autonomous AI agents (including, but not limited to, ScoutAgent, VerifierAgent, AnalystAgent, ExtractorAgent, and AuditBot) to discover, analyze, verify, and present real estate investment opportunities. The Platform also enables users to upload documents (PDFs, images, spreadsheets) for automated financial extraction and analysis.

3.2 AI-Generated Analysis. All deal scores, financial projections, property valuations, comparable sales analyses, risk assessments, and investment recommendations generated by the Platform are produced by artificial intelligence systems and are provided for informational and reference purposes only. Accurit AI does not provide investment advice, legal counsel, tax guidance, or real estate brokerage services.

3.3 No Guarantee of Accuracy. While Accurit AI employs multi-agent verification systems and cross-references public data sources (including MLS feeds, tax records, court filings, and third-party APIs), we do not guarantee the accuracy, completeness, timeliness, or reliability of any data, analysis, or recommendation produced by the Platform. Real estate transactions carry inherent risks, and all investment decisions should be made in consultation with qualified professional advisors.

3.4 Third-Party Data Sources. The Platform aggregates data from third-party providers, public records databases, and user-uploaded documents. Accurit AI does not control the accuracy or availability of third-party data sources and makes no representations or warranties regarding the same. Data availability may vary by geographic region and jurisdiction.

4. Subscription Plans, Billing, and Payment

4.1 Subscription Tiers. Accurit AI offers multiple subscription tiers (Starter, Pro, and Enterprise), each with different features, usage limits, and pricing as detailed on our pricing page. Features may include, but are not limited to, the number of active markets monitored, PDF upload limits, API access, team seats, and agent configuration options.

4.2 Free Trials and Promotional Codes. Accurit AI may offer free trial periods or promotional discount codes at its sole discretion. Trial periods provide temporary access to specified features and automatically convert to a paid subscription upon expiration unless canceled prior to the trial end date. Promotional codes are subject to their specific terms, including usage limits, geographic restrictions, and expiration dates. Promotional codes have no cash value, are non-transferable, and may not be combined with other offers unless expressly permitted.

4.3 Billing Cycle. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Payment is due at the beginning of each billing cycle. All fees are quoted and charged in United States Dollars (USD) unless otherwise specified.

4.4 Payment Methods. We accept payment via major credit cards, debit cards, and other payment methods as displayed at checkout. You authorize Accurit AI to charge your selected payment method for all fees associated with your subscription, including applicable taxes.

4.5 Price Changes. Accurit AI reserves the right to modify subscription pricing at any time. Price changes will take effect at the beginning of your next billing cycle following notice. We will provide at least thirty (30) days' advance notice of any price increase via email to the address associated with your account.

4.6 Refund Policy. All fees are non-refundable unless otherwise required by applicable law. If you cancel your subscription, you will retain access to paid features through the end of your current billing period. No prorated refunds are issued for partial billing periods. Enterprise customers may negotiate custom refund terms as part of their service agreement.

5. Acceptable Use Policy

You agree not to use the Platform for any purpose that is unlawful, fraudulent, or prohibited by these Terms. Without limiting the foregoing, you shall not:

• Use the Platform to engage in or facilitate real estate fraud, money laundering, wire fraud, or any other illegal activity
• Upload falsified, manipulated, or fabricated documents with the intent to deceive or obtain fraudulent analysis results
• Attempt to reverse engineer, decompile, disassemble, or derive the source code, algorithms, or methodologies of the Platform or its AI agents
• Scrape, harvest, or systematically extract data from the Platform through automated means beyond authorized API usage
• Interfere with, disrupt, or create an undue burden on the Platform's infrastructure, networks, or connected systems
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Share, resell, sublicense, or redistribute your account access, API keys, or Platform outputs to unauthorized third parties
• Use the Platform's output to create competing products or services, or to train third-party AI models
• Circumvent any rate limits, usage restrictions, or technical measures designed to enforce these Terms
• Use the Platform in any manner that violates the Fair Housing Act, Equal Credit Opportunity Act, or any other applicable anti-discrimination law

Accurit AI reserves the right to investigate suspected violations and to take appropriate action, including account suspension or termination, reporting to law enforcement, and pursuing civil remedies.

6. Intellectual Property Rights

6.1 Accurit AI's Intellectual Property. The Platform, including all software, algorithms, AI models, user interface designs, trademarks, service marks (including "Accurit AI", the Accurit AI logo, "Margin Meter", "Agentic Deal Desk"), trade dress, copyrightable content, and proprietary methodologies, are the exclusive property of Accurit AI, Inc. and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to Accurit AI's intellectual property except for the limited license expressly granted herein.

6.2 License to Use. Subject to your compliance with these Terms, Accurit AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during the term of your subscription.

6.3 User Content. You retain ownership of all documents, data, and content that you upload to the Platform ("User Content"). By uploading User Content, you grant Accurit AI a non-exclusive, worldwide, royalty-free license to process, analyze, and store your User Content solely for the purpose of providing the Platform's services to you. This license terminates upon deletion of your User Content or termination of your account, subject to our data retention policies.

6.4 Feedback. Any suggestions, enhancement requests, recommendations, or other feedback you provide regarding the Platform ("Feedback") shall be the property of Accurit AI. You hereby assign to Accurit AI all right, title, and interest in and to such Feedback, and Accurit AI shall be free to use, disclose, reproduce, and commercialize Feedback without compensation or attribution to you.

7. Data Handling and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that you have read and understood the Privacy Policy, including our practices regarding the collection, use, storage, and disclosure of personal information and deal-related data.

For enterprise customers processing data subject to specific regulatory frameworks (including but not limited to the California Consumer Privacy Act, the General Data Protection Regulation, or the Gramm-Leach-Bliley Act), custom data processing agreements may be executed upon request.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACCURIT AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 No Investment Advice. ACCURIT AI IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, REAL ESTATE BROKER, APPRAISER, OR FINANCIAL PLANNER. THE PLATFORM'S AI-GENERATED ANALYSIS, SCORES, PROJECTIONS, AND RECOMMENDATIONS DO NOT CONSTITUTE INVESTMENT ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. YOU ACKNOWLEDGE THAT ALL INVESTMENT DECISIONS ARE MADE AT YOUR OWN RISK AND DISCRETION.

8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACCURIT AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, INVESTMENT LOSSES, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ACCURIT AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.4 Cap on Liability. ACCURIT AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ACCURIT AI DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Accurit AI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your User Content; (e) any investment, transaction, or business decision you make based in whole or in part on information obtained through the Platform; or (f) any dispute between you and any third party related to your use of the Platform.

10. Termination

10.1 Termination by You. You may cancel your subscription and terminate your account at any time through the Platform's settings page or by contacting support@accurit.ai. Cancellation will take effect at the end of your current billing period.

10.2 Termination by Accurit AI. Accurit AI may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, failure to pay applicable fees, fraudulent activity, or conduct that Accurit AI reasonably believes is harmful to other users, the Platform, or Accurit AI's business interests.

10.3 Effect of Termination. Upon termination, your license to access and use the Platform shall immediately cease. Accurit AI may, but is not obligated to, provide you with a reasonable period to export your data. Sections that by their nature should survive termination (including Sections 6, 8, 9, 11, and 12) shall survive any termination or expiration of these Terms.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution. Before initiating any formal dispute resolution process, you agree to first contact Accurit AI at legal@accurit.ai and attempt to resolve the dispute informally for a period of at least sixty (60) days.

11.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award rendered may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver. YOU AND ACCURIT AI EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

11.4 Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12. General Provisions

12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

12.2 Entire Agreement. These Terms, together with the Privacy Policy and any additional agreements executed in connection with Enterprise subscriptions, constitute the entire agreement between you and Accurit AI with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

12.3 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12.4 Waiver. The failure of Accurit AI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Accurit AI.

12.5 Assignment. You may not assign or transfer these Terms or your rights hereunder without Accurit AI's prior written consent. Accurit AI may freely assign these Terms without restriction.

12.6 Force Majeure. Accurit AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications outages, or third-party service disruptions.
